01Acceptance, Scope & Definitions

This document (the "Terms") is a binding agreement governing your use of the website, terminal, data feeds, API, community channels, and all related services (the "Service") operated by VizorDesk ("VizorDesk", "we"). By accessing the Service, creating an account, or purchasing a license, you represent that you have read and accept these Terms in full.

Operator: the individual user accessing the Service. License: the access right acquired via Whop. Terminal: the interface presenting microstructure data. Content: all data, metrics, briefs, JSON outputs, and analytical models.

02Nature of the Service

VizorDesk operates exclusively as an autonomous quantitative data intelligence and analytics infrastructure. We are not a registered broker, portfolio manager, financial advisor, or investment institution. The Service descriptively visualizes market microstructure (liquidity, liquidations, options/GEX, order flow, etc.).

03Eligibility & Account

To use the Service you must be at least 18 years old and legally capable of entering a binding contract in your jurisdiction. Use of the Service must be lawful where you reside; compliance with local law is the operator's responsibility.

Access is provided via Whop authentication. You are responsible for your account security, the confidentiality of your credentials, and all activity under your account. A license is personal, non-transferable, and non-shareable.

04Subscription, Payment & Renewal

The Service is offered as a monthly subscription via Whop (payment infrastructure: Stripe). The subscription auto-renews at the end of each period and is charged to your payment method until cancelled by you or us. Prices may change with prior notice, effective at the next renewal.

We do not process, see, or store your credit card information; all financial transactions are securely handled directly by Stripe. You may cancel anytime via the Whop panel; cancellation takes effect at the end of the current period.

05Refund Policy

VizorDesk provides immediate and automated access to digital software and cloud-based node infrastructure. Due to the irrevocable nature of these digital goods and immediate resource allocation, all sales are final. Once a license key is generated, refunds cannot be processed under any circumstances.

Waiver of withdrawal: By completing the purchase and accessing digital content immediately, you expressly waive your 14-day right of withdrawal under EU/UK consumer law and the Turkish Distance Contracts Regulation (Article 15/1-ğ).

If you experience a technical issue, contacting support is mandatory before initiating any chargeback. Unauthorized chargebacks or friendly fraud are a breach of contract and result in permanent suspension of the license and associated IP addresses.

06Acceptable Use

The operator agrees not to:

• Resell, redistribute, publish, or leak the Service, its outputs, or premium data (including screenshots) to third parties;
• Reverse engineer the terminal, API, or infrastructure, or attempt to extract source code;
• Perform unauthorized scraping, excessive requests, or rate-limit circumvention via automated tools;
• Share accounts, abuse multi-device access, or transfer the license;
• Use the Service for unlawful purposes, market manipulation, or to mislead others.

Violation may result in termination without notice and permanent revocation of access.

07Intellectual Property

The VizorDesk brand, logo, design language, software, data models, and all generated outputs (including briefs, JSON, and metrics) are the exclusive intellectual property of VizorDesk and protected by applicable law. The license grants you only a limited, non-exclusive, non-transferable right of personal-use access; it transfers no ownership.

08Financial Risk & Disclaimer

All data, metrics (including but not limited to Dealer Gamma, CVD, and Z-Scores), and analytical models provided by the terminal are for informational and educational purposes only. None of them constitute financial advice, investment advice, trading signals, or a solicitation to buy or sell any asset, cryptocurrency, or derivative.

Market operations involve severe risk of capital loss. Interpreting the raw data, managing the risk profile, and executing trades are solely the responsibility of the human operator. As market conditions and external API endpoints are subject to extreme volatility and latency, we do not guarantee the accuracy, completeness, or timeliness of the data feed.

09Disclaimer of Warranties

The Service is provided on an "AS-IS" and "AS-AVAILABLE" basis, without warranties of any kind, express or implied. As the system relies on third-party exchange and macro APIs subject to outages, latency, or rate limits, 100% uninterrupted uptime is not guaranteed. All implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, are disclaimed to the fullest extent permitted by law.

10Limitation of Liability

To the maximum extent permitted by law, VizorDesk, its founders, developers, and infrastructure providers shall not be liable for any financial losses, liquidated positions, missed opportunities, or indirect, incidental, special, or consequential damages arising from the use or inability to use the Service. In any case, our total aggregate liability is limited to the subscription fees paid in the one (1) month preceding the claim.

11Indemnification

The operator agrees to indemnify and hold harmless VizorDesk against any claims, damages, liabilities, and costs (including reasonable legal fees) arising from your breach of these Terms, misuse of the Service, or violation of third-party rights.

12Privacy Policy

We are committed to protecting your privacy and complying with global data protection law. We process only strictly necessary data to run the Service.

Data collected: email address, IP address, Whop account identifier, and anonymous telemetry (session durations, interface interactions). Purposes: secure node allocation, authentication, performance/latency optimization, security monitoring, and fraud prevention. Legal basis (GDPR): contract performance and legitimate interest.

• EU/UK (GDPR): you have rights of access, rectification, erasure, restriction, and portability.
• US (CCPA/CPRA): zero tolerance for data brokering — we never sell, rent, or trade your information.
• Türkiye (KVKK): in strict accordance with Law No. 6698, used only for contract establishment, performance, and fraud prevention.

Processors: Stripe for payments, Whop for access/licensing. We never see or store your card data. Retention: data is kept only for the legal and operational period necessary. To exercise your rights, contact [email protected].

13Cookie Policy

We use only cookies required for the Service to function: essential/session cookies (authentication and secure access — the terminal will not work without them) and anonymous analytics/telemetry cookies. We use no advertising or tracking cookies and never sell your cookie data. You can manage or delete cookies in your browser; blocking essential ones may stop access to the Service.

14Third-Party Services

The Service relies on external providers such as Whop and Stripe (access/payment) and third-party exchange and macro APIs (data). Those third parties' own terms and privacy policies apply. Our content may link to external sites; VizorDesk is not responsible for their content or practices.

15Social Media, Community & Scams

All content shared on our official channels (X, Instagram, LinkedIn, Substack, Discord) is for informational and educational purposes only and does not constitute investment advice or signals. Insults, harassment, spam, manipulation calls, and promotions are prohibited in community channels; violating content and users may be removed without notice.

16Termination & Suspension

We reserve the right to suspend or permanently terminate your access, with or without notice, in the event of a breach of these Terms, fraudulent activity, or unauthorized chargeback. Upon termination your license immediately becomes void and no refund is issued. Provisions that by their nature should survive (intellectual property, limitation of liability, indemnification, governing law) remain in effect after termination.

17Changes to the Terms

We may update these Terms from time to time. We will notify material changes by reasonable means and state the current "Effective Date" at the top of this page. Continuing to use the Service after a change constitutes acceptance of the updated Terms.

18Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Türkiye. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts and execution offices of Muğla, Türkiye.

19General Provisions

Severability: the invalidity of one provision does not affect the others. Waiver: failure to enforce a right is not a waiver of it. Entire agreement: these Terms, together with all related policies, constitute the entire agreement between the parties and supersede all prior agreements. Assignment: we may assign our rights to a successor; you may not assign the Terms.
